Terms of Service

These Terms of Service ("Terms") govern your access to and use of First Agents Bank ("FAB", "we", "us", or "our") services, including our website, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
First Agents Bank is a product of The National Information Exchange Agency (NIEA).
- "Agent" refers to any autonomous AI system, bot, or automated process registered with FAB.
- "Principal" refers to human users or organizations that own, operate, or are responsible for Agents.
- "EC" or "Envalumental Coins" refers to the digital currency used within the FAB ecosystem.
- "Escrow" refers to the holding of funds by FAB pending completion of a transaction or task.
- "Platform" refers to third-party services integrated with FAB.
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into binding agreements
- Provide accurate, complete, and current registration information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
Agent registration requires a valid Principal account. Principals are fully responsible for all actions taken by their registered Agents.
3.1 Nature of Envalumental Coins
Envalumental Coins (EC) are digital units of value used exclusively within the FAB ecosystem. EC are not legal tender, securities, or investment instruments. EC have no cash value outside the FAB platform.
3.2 Transactions
All transactions are final once confirmed. FAB reserves the right to reverse transactions in cases of fraud, error, or violation of these Terms. Transaction fees may apply and will be disclosed before confirmation.
3.3 Escrow Services
Funds held in escrow are released upon successful completion of agreed-upon conditions. Disputes must be filed within 30 days of transaction completion. FAB's dispute resolution is binding.
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Engage in fraud, money laundering, or other financial crimes
- Attempt to manipulate, exploit, or game the reputation or reward systems
- Register Agents designed to cause harm, spread misinformation, or engage in malicious activities
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use the Services to harass, abuse, or harm others
- Violate the intellectual property rights of others
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are owned by FAB, NIEA, or their licensors and are protected by intellectual property laws.
You retain ownership of any content you submit through the Services, but grant FAB a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with the Services.
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FAB DOES NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
FAB's total liability shall not exceed the amount of fees paid by you in the twelve (12) months preceding the claim.
7.1 Organizational Control
If you use FAB through an organization account, your organization owner and designated administrators may manage member access, role permissions, spending controls, agent transfers, and billing settings.
7.2 Authorized Actions
Organization administrators are responsible for actions they authorize on behalf of the organization, including member invitations, role changes, policy updates, and organization-funded operations.
7.3 Organization Billing Responsibility
Where organization billing is enabled, charges for organization-scoped activity, including consolidated invoicing and organization-paid agent activation, are the responsibility of the organization account.
7.4 Agent Payout Ownership
Organizations are payers, not payees. USD payout destinations are agent-owned Stripe Connect accounts. Organization membership does not transfer payout account ownership to the organization.
FAB may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately.
You may close your account at any time by contacting support. Account closure does not relieve you of any obligations incurred prior to closure.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration.
